Terms of Service

These terms are an agreement between Paddo Tech Pty Ltd (ABN 94 625 633 285), 2/290 Boundary Street, Spring Hill QLD 4000, Australia ("we", "us") and the person or business that uses ushr ("you"). They cover the hosted control plane at ushr.io and cp.ushr.io and the web dashboard ("the Service").

You accept these terms when you click to accept them at sign-up, when you create or join a workspace, or at checkout. If you accept them for a business, you confirm that you can bind that business.

1. The Service

ushr schedules GitHub Actions jobs onto machines that you own or control. You install the ushr agent on those machines. The control plane decides which machine takes which job. Your runners register with GitHub directly.

The ushr agent, CLI and self-hosted controller are open-source software under the Apache License 2.0. That licence, not these terms, governs your use of that code, including its warranty disclaimer. These terms govern the hosted Service only. The Apache License gives you no rights in the ushr name or logo.

2. Accounts

  • The Service is built for business use. This does not affect your rights under the Australian Consumer Law (see section 10).
  • You must give accurate account details and keep them current.
  • You are responsible for everything done under your account, including by workspace members you invite.
  • Keep your sign-in methods and enrollment tokens secure. Tell us promptly if you think one is compromised.
  • You may only connect GitHub organisations, accounts and repositories that you have authority to manage.

3. Your machines and your code

You run the agent and your CI jobs on your own hardware. You are responsible for those machines, their security, their software licences, and the jobs you run on them. This includes compliance with GitHub's terms and with the licence terms of any operating system you virtualise.

Your GitHub App private key stays on your machine. The Service does not receive your source code, build logs or repository secrets. The Privacy Policy lists the data the Service does receive.

4. Plans and billing

  • The free plan covers 1 host and 1 GitHub scope (an organisation, or a repository on a personal account). It has no fee.
  • The paid plan costs US$49 per month for up to 3 hosts, plus US$19 per month for each extra host, plus tax where it applies. It has unlimited GitHub scopes. You choose 3 to 100 hosts at checkout. Contact us for more. To change the number of hosts later, use Manage billing on your workspace page, or contact us.
  • Stripe processes all payments. The paid plan renews every month and is billed in advance until you cancel.
  • Prices exclude taxes. Stripe calculates the tax from your billing address. Checkout shows the total, including tax, before you pay. You pay all taxes on our fees, except taxes on our income.
  • We will email the workspace owners at least 30 days before a price change applies to your subscription. If you do not accept the new price, you can cancel before it applies. We then refund the unused part of your current billing period.
  • If a renewal payment fails, we email the workspace owners. Your paid plan limits stay for 7 days while Stripe retries the payment. After that, the free plan limits apply until a payment succeeds.
  • If your workspace has more hosts or scopes than its plan allows, hosts that are already enrolled keep running and receiving jobs. You cannot enroll a new host or verify a new scope until the workspace is within its limits. This applies after a failed payment, a cancellation or a cut in the number of paid hosts.

5. Cancellation and refunds

A workspace owner or admin can cancel at any time from Manage billing on the workspace page. Your paid plan stays active until the end of the period you paid for. We do not charge you again. The free plan limits then apply, as section 4 describes. The Refund Policy sets out when we give refunds.

6. Acceptable use

You must not:

  • use the Service to break the law or to break GitHub's terms;
  • try to access another customer's workspace, data or machines;
  • overload or disrupt the Service, or bypass plan limits or security controls;
  • create several free workspaces to avoid plan limits;
  • share enrollment tokens or credentials outside your workspace;
  • send malicious code or data to the Service;
  • test the security of the Service, except by reporting issues as our security page describes;
  • resell the hosted Service without our written agreement.

You must not use the Service if you are, or act for, a person on an Australian, United Nations, United States, United Kingdom or European Union sanctions list. You must not use it from a country or region under comprehensive sanctions, or in breach of export control laws. We may suspend the Service where we reasonably believe that supplying it would break these laws.

7. Availability and support

We work to keep the Service available, but we do not give a service level agreement or service credits. The status page shows current health.

We may interrupt the Service for maintenance or to protect its security. If the control plane is unavailable, it cannot send new jobs to your machines until it is back. We will give you at least 30 days' notice before a change that materially reduces the paid features. If you do not accept the change, you can cancel before it takes effect. We then refund the unused part of your current billing period.

We may label some features beta or preview. They can change or stop without notice, and we give no support commitment for them.

8. Your data and confidentiality

You keep all rights in the data you send to the Service. You give us permission to process it only to run, secure and support the Service. We may use aggregated data that does not identify you or any person to run and improve the Service. The Privacy Policy explains how we handle personal data. Each party will keep the other's non-public information confidential. Each party will use it only under these terms. This duty does not cover information that is public, that the party already had, or that the law requires it to disclose.

9. Suspension and termination

  • You can stop using the Service at any time. A workspace owner can ask us to delete the workspace by email.
  • We may suspend or end your access if you materially break these terms, if you do not pay, or if your use puts the Service or other customers at risk. Where we can, we will give you notice first.
  • We may stop offering the Service with 60 days' notice by email. If we end your paid plan for any reason other than your breach or non-payment, we refund the unused part of the current billing period.
  • Before or within 30 days after your access ends, you can ask us for a copy of your workspace data. After that, we delete your data on request and as the Privacy Policy describes. We keep data that the law requires us to keep.
  • Sections 4 (for unpaid fees), 8, 10, 11, 13 and 14 continue after these terms end.

10. Australian Consumer Law and disclaimers

Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these terms excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition, that the law implies or imposes and that cannot lawfully be excluded or limited. If you are outside Australia, your local consumer law may also give you rights that these terms cannot remove.

Subject to those rights, we do not promise that the Service will be uninterrupted or error-free.

11. Limitation of liability

  • If the Australian Consumer Law applies and the Service is not of a kind ordinarily acquired for personal, domestic or household use, our liability for a failure to comply with a consumer guarantee is limited, at our option, to supplying the Service again or paying the cost of having it supplied again.
  • Subject to that, and to any liability that the law does not let a party limit, each party's total liability for all claims under or about these terms in any 12-month period is limited to the greater of the fees you paid us in that period and A$100.
  • Neither party is liable for indirect or consequential loss. This does not apply to loss caused by that party's fraud, wilful misconduct or breach of confidentiality.
  • This section does not limit your duty to pay fees.
  • Each party must take reasonable steps to reduce its loss.

12. Changes to these terms

We may change these terms. We will email the workspace owners at least 30 days before a material change takes effect. If you do not accept the change, you can cancel before it takes effect. We then refund the unused part of your current billing period. A change that the law or an urgent security need requires can take effect sooner. We will tell you why. If you keep using the Service after a change takes effect, the changed terms apply.

13. Governing law and disputes

The laws of Queensland, Australia govern these terms. The courts of Queensland, and the courts that hear appeals from them, have non-exclusive jurisdiction. Before a party starts proceedings, it must give the other party written notice of the dispute. Both parties must then try in good faith for 30 days to resolve it. Either party can still seek urgent relief from a court.

14. General

  • Neither party may assign these terms without the other's written consent. Either party may assign them to a successor of its whole business with notice to the other.
  • Neither party is liable for delay caused by events outside its reasonable control.
  • These terms, the Refund Policy and the Privacy Policy are the whole agreement about the Service. If they conflict, these terms prevail.
  • If a court finds part of these terms unenforceable, the rest stays in force.
  • If a party does not enforce a right, it does not waive that right.
  • We send notices to the email addresses of your workspace owners. You send notices to hello@paddo.tech.
  • We may use feedback you give us without any duty to you.
